Contracting entity
Sparqbox is a product of SupplyUp, a Dutch sole proprietorship (eenmanszaak) run by Dennis Jacobs and headquartered in the Netherlands. Throughout these terms, "Sparqbox," "we," "us," and "our" refer to SupplyUp in its capacity as the operator of the Sparqbox service.

A dedicated Sparqbox B.V. is planned for later in 2026. Upon incorporation, the contracting entity will transfer to Sparqbox B.V. and existing customers will be notified by email at least 30 days before the transition takes effect. Your rights and obligations under these terms will remain materially unchanged.
"Workspace admin" means the workspace owner and any user assigned the Admin role within a Sparqbox workspace. Notifications under these terms are sent to all workspace admins on file.
1. Agreement acceptance
By creating a Sparqbox workspace, inviting users, or using the service in any capacity, you agree to these Terms of Service and our Privacy Policy. If you're accepting on behalf of a company, you confirm you have authority to bind that company.
2. Service description
Sparqbox is a multi-tenant software-as-a-service for structured idea evaluation. It includes guided idea submission, AI-assisted first review, weighted scoring by human reviewers, automatic decisions based on configured thresholds, and mandatory submitter feedback. Features available per tier are described on our pricing page.
3. User accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your workspace. Notify us immediately at support@sparqbox.com of any suspected unauthorised access. We enforce strong password requirements and offer SSO on the Scale tier.
4. Acceptable use
You agree not to use Sparqbox to: submit unlawful content; infringe on third-party intellectual property; attempt to reverse-engineer or scrape the service; resell or sub-license the product; or use it to harass or discriminate against anyone. Violations may result in workspace suspension without refund.
5. Payment terms
Pricing and tier features are published at sparqbox.com/pricing. Billing is monthly or annual (with a 2-month discount on annual), in euros, via Stripe. Invoices are issued on the first of each month. A 14-day free trial of the Growth tier is available to new workspaces with no credit card required.
6. Cancellation and refunds
You may cancel your subscription at any time from the billing portal. Cancellation takes effect at the end of your current billing period. We do not offer pro-rated refunds for partial months. Annual subscriptions may be refunded pro-rated within the first 30 days of the annual term.
7. Data ownership
You own all data you and your users submit to Sparqbox, including ideas, scores, comments, and evaluation history. You may export this data as CSV at any time from your workspace. Closing your workspace purges all data within 30 days unless you request earlier deletion.
8. Data processing
When you use Sparqbox, we process personal data on your behalf as defined by the GDPR. You are the data controller and we are the data processor. Our Data Processing Agreement at sparqbox.com/dpa is incorporated into these terms by reference and governs how we handle personal data submitted to the service.
We maintain a current list of sub-processors at sparqbox.com/subprocessors. We will notify workspace admins by email at least 30 days before adding a new sub-processor that processes personal data, giving you the opportunity to object.
9. AI processing
Sparqbox uses Anthropic's Claude API to provide AI-assisted features, including first-pass idea review and suggested scoring. When AI features are enabled in your workspace, idea content is sent to Anthropic for processing. Anthropic processes data under their commercial terms and does not use Sparqbox customer data to train their models. You can disable AI features at the workspace level, in which case no idea content is sent to Anthropic.
10. Intellectual property
We retain all rights to the Sparqbox platform, including software, brand, documentation, and evaluation framework templates. You retain all rights to your submitted ideas and workspace content. Nothing in these terms transfers ownership of customer ideas to Sparqbox.
11. Warranties and service availability
Sparqbox is provided as is and as available. We make reasonable efforts to keep the service operational, secure, and performant. For Scale tier customers, we commit to a monthly uptime of 99.9%, measured as service availability excluding scheduled maintenance and force majeure events. Service credits for missed targets are described in our Service Level Agreement at sparqbox.com/sla. Except as set out above and to the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by applicable law, our total liability for any claim arising out of or related to these terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
13. Confidentiality
Each party will treat the other's non-public information as confidential and will not disclose it to third parties or use it outside the purpose of these terms, except where disclosure is required by law. This obligation survives termination. Your idea content, scoring data, and workspace configuration are your confidential information. We will only access this data to provide support with your permission, respond to a security incident, or comply with a legal obligation.
14. Force majeure
Neither party is liable for failure or delay caused by events outside its reasonable control, including acts of government, internet outages, failures of upstream cloud providers, natural disasters, or armed conflict. The affected party will notify the other and resume performance as soon as practicable.
15. Governing law
These terms are governed by the laws of the Netherlands. Any dispute that cannot be resolved amicably will be resolved by the competent courts of Eindhoven, the Netherlands, unless mandatory EU consumer law provides otherwise.
16. Dispute resolution
We commit to good-faith resolution of any issue. Email support@sparqbox.com with the nature of the dispute. We will respond within 10 business days and attempt to resolve within 30 days before either party pursues formal proceedings.
17. Changes to terms
We may update these terms from time to time. Material changes will be notified to workspace admins by email at least 30 days before taking effect. Continued use of the service after the effective date constitutes acceptance of the new terms.
18. Survival
The following sections survive termination of these terms: Data ownership, Intellectual property, Limitation of liability, Confidentiality, Governing law, and Dispute resolution.
